The Company's board of directors currently consists of nine members and is responsible for managing the Company's operations. The directors are appointed by the shareholders' meeting to serve for a term of one year and may be reelected. In accordance with the Company's bylaws, any shareholder or group of shareholders representing at least 10% of the Company's total capital stock (including shares with voting rights or limited voting rights, such as the Series “L” Shares), has the right to appoint and remove a director and his or her respective alternate.

The board of directors must meet at least once every quarter. In accordance with the law, at least 25% of the directors must qualify as independent in terms of the Mexican Stock Market Law. The Company's bylaws provide for the possibility of appointing an alternate director for each proprietary director, to make up for the latter's absences at board meetings.

Except for Mr. David Peñaloza Alanís, who was appointed as chairman of the board of directors on March 8, 2013, the current members of the board of directors were appointed by the Annual General Meeting (AGM) held on April 29, 2011 and have been ratified in office each year with the latest ratification taking place at the AGM held on July 3, 2020.

David Peñaloza Alanís

Chairman

Mr. David Peñaloza Alanís is the current Chairman of the Board of Directors and CEO of the Company. He worked at Société Générale, GBM and Serfín. Mr. Peñaloza Alanís holds a degree in accounting from the Universidad Anáhuac and a postgraduate degree in business administration from Harvard University. Mr. Peñaloza Alanís is the brother of Mrs. Adriana Graciela Peñaloza Alanís.

Adriana Graciela Peñaloza Alanís

Director

Mrs. Adriana Graciela Peñaloza Alanís is a Director of the Company. She worked in the purchasing, human resources, marketing, and international public relations departments of Coordinación Aplicada, a construction company. Mrs. Peñaloza Alanís holds a bachelor's degree in graphic design from the Universidad Iberoamericana and a master's degree in art history from the Universidad Anáhuac. Mrs. Peñaloza Alanís is the sister of Mr. David Peñaloza Alanís.

Moisés Rubén Kolteniuk Toyber

Director

Mr. Moisés Rubén Kolteniuk Toyber is a Director of the Company. He is currently an advisor to the General Management of Altos Hornos de México. He worked in the mining industry for the federal government until he became Deputy Secretary of the then Secretariat of Industrial Development. In addition, he was CEO of Aeropuertos del Sureste. Mr. Kolteniuk holds a degree in electromechanical engineering from the National Autonomous University of Mexico (Universidad Nacional Autónoma de México, “UNAM” for its Spanish acronym) and a master's degree in operations analysis from the University of California, Berkeley Campus. Mr. Kolteniuk Toyber is the uncle of Mr. Carlos Césarman Kolteniuk.

Carlos Césarman Kolteniuk

Director

Mr. Carlos Césarman Kolteniuk serves as a Director, Corporate Director of Finance and Investor Relations Officer of the Company. He worked at Industrias Campos Hermanos and founded Inovamed, a management company specialized in the healthcare sector. Mr. Césarman holds a Bachelor's degree in economics from the Universidad Anáhuac. Mr. Césarman Kolteniuk is the nephew of Mr. Moisés Rubén Kolteniuk Toyber.

Luis Javier Solloa Hernández

Independent Director

Mr. Luis Javier Solloa Hernández is an Independent Director of the Company. He is also a partner of the law firm Solloa, Tello de Meneses y Compañía, and has served as a commissioner and director of several companies in the industrial, retail, and financial sectors. Mr. Solloa holds a degree in public accounting from UNAM, a certificate in financial engineering from the Colegio de Contadores de México and a certificate in senior business management from the Universidad Iberoamericana.

Luis Hoyo García

Independent Director

Mr. Luis Hoyo García is an Independent Director of the Company. He was CEO of Agencia Aduanal and Chairman of the Association of Customs Agents in Lázaro Cárdenas, Michoacán. Mr. Luis Hoyo García holds a degree in public accounting from the Universidad Anáhuac.

Ramiro Pérez Abuin

Independent Director

Mr. Ramiro Pérez Abuin is an Independent Director of the Company. He worked as a consultant and auditor at Deloitte Touche Tohmatsu and Arthur Andersen. In addition, he was one of the founders of Marynolo and is CEO of Distribución y Servicios Logísticos. Mr. Pérez holds a degree in public accounting from the Universidad Iberoamericana y and a master's degree in senior business management from the American Institute for High Business Management (Instituto Panamericano de Alta Dirección de Empresa, “IPADE” for its Spanish acronym).

Frantz Joseph Guns

Independent Director

Mr. Frantz Joseph Guns Devos is an Independent Director of the Company. He has worked at Aeropuertos del Sureste, IPM, and Ferrocarriles del Sureste. In addition, he has served as a consultant in the areas of project management, strategic planning, and corporate practices. Mr. Guns holds a degree in applied economics from the St. Ignatius University Centre, Antwerp.

Luis Dantón Martínez Corres

Independent Director

Mr. Luis Dantón Martínez Corres was approved as a new Independent Director for the Company. He is a lawyer specialized in criminal and administrative liability, compliance, anti-corruption and investigations. He has had an outstanding career in both the public and private sectors, holding among other positions those of: Deputy General Legal and Fiduciary Director of Nacional Financiera, Advisor to the Undersecretary of Finance and Public Credit, Global Director of Compliance GCB of Citigroup in New York, Legal and Government Relations Director of Walmart de México and Central America. He is a founding partner of LEC, Litigio Estratégico y Compliance, a law firm based in Mexico City.
